Raymond Realty Limited was incorporated as a public Company in name and style of Raymond Lifestyle Limited' dated November 14, 2019 issued by Registrar of Companies, Central Registration Centre. Further, Company name was changed to Raymond Realty Limited' and a fresh certificate of incorporation dated January 5, 2024 was issued by the Registrar of Companies, Mumbai. Prior to the Scheme of Arrangement being approved by Hon'ble NCLT, Mumbai Bench, Company was a wholly owned Subsidiary of Raymond Limited. Pursuant to the Scheme becoming effective, the whole of the 'Realty Business' referred to as the Demerged Undertaking of the Company under the Scheme, has been demerged from Raymond Limited and vested into the Company with effect from April 1, 2025. In terms of the Scheme of Arrangement for Demerger, Company has allotted 6,65,73,731 Equity Shares of Rs 10/- each to the shareholders of the Company in the ratio of 1:1 on May 14, 2025.
