Company History

ITC Hotels Limited was incorporated as a Public Limited Company and a Certificate of Incorporation dated July 28, 2023 was issued by the Registrar of Companies, West Bengal.

Pursuant to the Scheme of Arrangement effective January 1, 2025, the Demerged Undertaking comprising the Hotels Business of ITC Limited was demerged from ITC Limited into the Company as a going concern basis and in consideration, the Company issued 2,08,11,71,040 Equity Shares of Re 1/- each to the shareholders of ITC Limited.

Hotels Business represents one of India's pre-eminent hospitality chains, embodying the essence of Indian hospitality and sustainability. The Company is engaged in the business of, inter alia, owning, licensing, operating and managing hotels and resorts, directly and through its Subsidiaries, Associates and Joint Venture. The current footprint encompasses over 140 hotels across over 90 destinations comprising about 13,000 keys. The Company Promoter is ITC Limited.

Apart from this, ITC Hotels is also renowned for its culinary excellence, with several award-winning brands and iconic food and beverage cuisines. ITC Hotels is a global exemplar in sustainable hospitality, embodying the ethos of 'Responsible Luxury' by seamlessly integrating opulence with environmental and social responsibility.
