Aditya Birla Lifestyle Brands Limited was incorporated as a public limited company and a certificate of incorporation dated April 9, 2024, was issued by the Registrar of Companies, Central Registration Centre.
The Company was incorporated as wholly- owned subsidiary of Aditya Birla Fashion and Retail Limited (ABFRL). The MFL business of Aditya Birla Fashion and Retail Limited was demerged from Aditya Birla Fashion and Retail Limited into the Company as a going concern on March 27, 2025 through the Scheme of Arrangement for Demerger and the Scheme became effective on May 1, 2025. In terms of the Demerger Scheme, 1,22,02,94,773 equity shares having the face value of Rs 10 each have been allotted by the Company through the Scheme of Arrangement. As per Share Entitlement Ratio, 1 (one) fully paid-up equity share of the Company having face value of Rs 10 each for every 1 (one) fully paid-up equity share of Rs 10 each of Aditya Birla Fashion and Retail Limited has been issued on May 22, 2025.
