During the year 2014-15, M/s. KVR Rail Infra Projects Pvt. Ltd. was amalgamated with the Company through the Scheme of Arrangement for Amalgamation which became effective from 10th January, 2015. In accordance with the said Scheme of Arrangement, the Share Capital of the Company was reduced by 75% and all the assets and liabilities of M/s. KVR Rail Infra Projects Pvt. Ltd., the Transferor Company, was taken over at its existing book value.
During the FY2016,the Company ,to give effect to the internal reorganization in terms of the duly approved Scheme of Arrangement, has reduced the existing subscribed and paid-up share capital of the Company to the extent of 75% and thereafter issued 6,950,000 Equity Shares and 24,050,000 7% Optionally Convertible Redeemable Preference Shares. Furthermore, the Company with the intent to meet the long-term working capital requirement of the merged business, has issued 33,00,000 Warrants convertible into equivalent number of Equity Shares within 18 months from the date of allotment, to the persons belonging to the Promoter Category.
During the year 2016-17, the Board of Directors of the Company on 30 June 2016 has converted 33,00,000 Fully Convertible Warrants into equivalent number of Equity Shares of Rs. 10/- each and 99,00,000 7% Optionally Convertible Redeemable Preference Shares pursuant to Scheme of Amalgamation of KVR Rail Infra Projects Pvt. Ltd. with the company,duly approved by Hon'ble High Court of Hyderabad.
